Terms of Service.
Last updated: April 30, 2026. These terms govern all engagements between Zentra Co and its clients. By engaging our services, you agree to the terms set out below.
1. About Zentra Co
Zentra Co ("we," "us," "our") is an AI automation and web design agency providing services to US-based service businesses, including electricians, solar contractors, roofers, and related trades. Our registered address is 1201 Orange St #600, Wilmington, DE 19801, United States.
2. Scope of Services
Zentra Co provides services including but not limited to:
- Conversion-first website design and development
- AI receptionist and chatbot setup and integration
- Automated lead follow-up and intake systems
- CRM, calendar, and dispatch integrations
- Google Ads, Meta advertising, and local SEO campaigns
- Ongoing system monitoring and optimisation
The specific scope of each engagement is defined in a written proposal or statement of work agreed upon by both parties prior to the commencement of work. Nothing outside that agreed scope is included unless separately documented and confirmed in writing.
3. Engagement and Proposals
An engagement begins when a client accepts a written proposal from Zentra Co, either in writing or by making an initial payment. The proposal constitutes the agreed scope, deliverables, timeline, and fee structure. Any changes to scope after acceptance must be agreed in writing and may affect pricing and timelines.
4. Payment Terms
Fees are due as specified in the client proposal. Where not otherwise stated:
- Project fees are invoiced in stages as agreed in the proposal
- Retainer fees are invoiced monthly in advance
- Invoices are due within 7 days of issue unless otherwise agreed
- Late payments may incur a 1.5% monthly charge on the outstanding balance
Zentra Co reserves the right to pause or suspend work on an engagement where invoices remain unpaid beyond the due date.
5. Intellectual Property
All work product, code, designs, automations, and systems created by Zentra Co remain the intellectual property of Zentra Co until the client has paid all fees in full. Upon receipt of full payment, ownership of deliverables specified in the proposal transfers to the client.
Zentra Co retains the right to use anonymised descriptions of completed work for portfolio and marketing purposes, including case studies and testimonials, unless the client expressly requests otherwise in writing.
Any third-party tools, platforms, or software integrated into a client's system remain subject to their respective licences and terms of service. Zentra Co does not transfer ownership of third-party software.
6. Client Responsibilities
To enable Zentra Co to deliver services effectively, clients agree to:
- Provide accurate and complete information about their business, services, and target customers
- Respond to requests for feedback, approvals, or content within agreed timeframes
- Provide timely access to required accounts, platforms, and credentials
- Ensure that all content and materials provided to Zentra Co do not infringe on any third-party intellectual property rights
- Notify Zentra Co promptly of any changes that may affect the scope or delivery of services
Delays caused by the client's failure to meet these responsibilities may affect delivery timelines without affecting payment obligations.
7. Confidentiality
Both parties agree to keep confidential any proprietary business information, trade secrets, or sensitive data shared during the course of the engagement. This obligation survives the termination of the agreement for a period of two years.
8. Warranties and Disclaimer
Zentra Co will perform services with reasonable skill and care. However, we do not guarantee specific business outcomes, lead volumes, revenue increases, or advertising performance. Results depend on factors outside our control including market conditions, client responsiveness, and platform algorithm changes.
All services are provided "as is" to the extent permitted by applicable law. We make no warranties beyond those expressly stated in the relevant proposal.
9. Limitation of Liability
To the fullest extent permitted by law, Zentra Co's total liability to a client in connection with any engagement shall not exceed the total fees paid by the client to Zentra Co in the three months preceding the event giving rise to the claim.
Zentra Co is not liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of revenue, loss of profits, loss of data, or business interruption, even if we have been advised of the possibility of such damages.
10. Termination
Either party may terminate an ongoing engagement by providing 30 days written notice to the other party. Notice may be given by email to the contact address on file.
Upon termination:
- All outstanding fees for work completed up to the termination date become immediately payable
- Zentra Co will provide a handoff of completed deliverables once all outstanding invoices are settled
- Ongoing retainer services will cease at the end of the notice period
Zentra Co reserves the right to terminate an engagement immediately and without notice where a client is in material breach of these terms, including non-payment of invoices.
11. Governing Law
These terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of the State of Delaware.
12. Changes to These Terms
We may update these Terms of Service from time to time. Updated terms will be posted on this page with a revised date. Continued engagement with Zentra Co after changes are posted constitutes acceptance of the revised terms.
